Terms of Service — Tmatt Technology

1. Introduction

These Terms of Service ("Terms") govern your use of the website tmatt.com.au and all services provided by Tmatt Technology Pty Ltd ("we", "us", "Tmatt Technology"). By using our website or engaging our services, you agree to these Terms.

2. Services

We provide web & app development, AI solutions (chatbots, assistants, automation), SEO & digital marketing, and custom business systems. All services are subject to a written project agreement that supplements these Terms.

3. Your Obligations

• Provide accurate and complete information
• Keep any access credentials secure
• Use our services only for lawful purposes
• Not reverse-engineer, disrupt, or misuse our systems
• Notify us immediately of any unauthorised access

4. AI Solutions & Data Processing

When we provide AI solutions:

• We process data on your behalf as a service provider — you retain ownership of your data
• AI systems may use third-party providers (e.g. OpenAI, Google, Anthropic)
• You are responsible for ensuring you have the rights and consent to provide data for AI processing
• AI-generated outputs should be reviewed before use in critical applications
• We implement reasonable security measures but cannot guarantee AI outputs are error-free

5. Intellectual Property

You retain ownership of content, data, and materials you provide to us.

We retain ownership of our proprietary tools, frameworks, methodologies, and pre-existing code.

Custom work: Ownership of custom-developed code transfers to you upon full payment, unless otherwise specified. Third-party components remain subject to their respective licences.

You grant us permission to showcase completed work in our portfolio unless agreed otherwise in writing.

6. Payment Terms

• Payment terms are specified in project agreements (typically net 14–30 days)
• We may require deposits or milestone payments for larger projects
• All amounts are in Australian dollars (AUD)
• Late payments may incur interest and we may suspend services for overdue accounts
• Work completed to date is generally non-refundable

7. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, consequential, or incidental damages, loss of profits or data, or damages caused by third-party services.

Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

Australian Consumer Law: Nothing in these Terms excludes or limits consumer guarantees under the Australian Consumer Law. Where the ACL applies, our liability is limited to re-supplying the services or paying the cost of having them re-supplied.

8. Confidentiality

Both parties agree to keep confidential information secure and not disclose it without permission, except where information is publicly available, was already known, or is required by law.

9. Termination

Either party may terminate services with written notice as specified in the project agreement (typically 14–30 days). We may suspend or terminate services immediately if you breach these Terms, fail to pay, or use services for illegal purposes.

On termination, you must pay for all services rendered. Confidentiality obligations survive termination.

10. Third-Party Services

We may use third-party services including hosting providers, analytics (Google Analytics), AI platforms, and payment processors. These services have their own terms and we are not responsible for third-party failures.

11. Governing Law

These Terms are governed by the laws of South Australia and the Commonwealth of Australia. Before legal action, parties agree to attempt resolution through good-faith negotiation and mediation.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on our website and notified to active clients via email.
